Terms of Service (Wholesale)

By purchasing Kantha Bae goods at Wholesale pricing after completing the authorized onboarding process with the Kantha Bae Team after 2/25/25, you are agreeing to the following terms and conditions and are an official part of the Kantha Bae Wholesale Program. In the following terms, you are agreeing to any terms and conditions that mention the “Retailer” , “Wholesale Program Partner”, “Wholesale Partner”, and other terms of that nature.

BECOMING AN EXTENSION OF KANTHA BAE…

By purchasing Kantha Bae goods at Wholesale pricing after completing the authorized onboarding process, you are agreeing to be an official Authorized Retailer with Kantha Bae! We welcome you as an extension of our brand.

We partner with artisan makers in India, Bangladesh, and the US to make all the beautiful textiles, handmade goods, and accessories you find in our shop. We are all growing together to bring a new story to the Apparel world and give a platform to those who have amazing gifts to share with the world. We are so grateful to have found partners in Northern India, Bangladesh, and the US to carry out the “why” of our business. 

As a Wholesale Partner with us, we invite you to share our story and the “why” of our brand with your customers. Your Wholesale Representative will go over any questions you may have on your onboarding call, and walk you through the heartbeat behind our brand. Each and every order will come with materials with a QR code that allows you and your customers to explore our story and feel good about the pieces you are selling.

WHOLESALE ACCOUNT ELIGIBILITY AND ONBOARDING

To qualify for a Kantha Bae Wholesale account, you must have a valid business license, current Resellers Permit, and Sales Tax license. 

If you have been approved for the Program, a representative from Kantha Bae will reach out to you via email after you’ve applied to the Wholesale Program. This correspondence will only ever come via Email, and will come from an email address ending in @kanthabae.com . If you receive correspondence on any other platform or from any other email address, disregard this and notify Kantha Bae immediately. 

Kantha Bae reserves the discretion to approve or not approve any account that applies to the Program. 

In order to be considered, all retailers applying for the program must complete the application in full with as much detail as possible, and then complete an onboarding phone interview with the team if pre-approved. Kantha Bae reserves the right to deny any application that does not align with the brand. 

At least one up-to-date and accurate Social Media profile is required to have your application considered, and Online Sellers must have an up-to-date and accurate website. Brick and Mortar shops must submit a photo of their storefront or inside of their shop in order to be considered. Stores that are not yet open will not be approved prior to opening date. 

MINIMUM ORDER REQUIREMENTS & PURCHASING

Minimum order requirements apply. Details will be provided upon approval. Wholesale pricing is for resale purposes only and not for personal use.

SALES CHANNEL RESTRICTIONS & APPROVED RETAIL LOCATIONS

Retailers are only authorized to sell at retail locations approved by Kantha Bae. Any new locations must be approved by Kantha Bae before the product can be sold. 

In-home retailers, kiosk locations, Amazon Resellers, Facebook e-tailers, 3rd party sellers such as eBay and Etsy, Buy/Sell/Trade (BST) groups on Facebook, consignment locations, or unauthorized third party marketplaces are not permitted. We do not provide or approve of any Dropshipping.

BRAND REPRESENTATION & SOCIAL MEDIA CONDUCT

You must accurately represent Kantha Bae products and branding. Removal of Kantha Bae tags, sewn in labels, or branding to misrepresent items as your own is strictly prohibited and grounds for removal from the Program.

Impersonation of Kantha Bae or misrepresentation of our brand on social media, websites, apps, or any digital platforms is grounds for account termination.

Engaging in or supporting online bullying, hate speech, or any defamatory actions against Kantha Bae, its ambassadors, employees, or other retailers as defined by Kantha Bae will result in immediate termination of your wholesale account. 

MERCHANDISING STANDARDS AND PRICING

All prices listed on this website are listed in U.S. dollars. Prices may change at any time without notice. Wholesale prices are listed only when the Retailer is logged into their account. 

Shipping charges will be added at checkout for Domestic orders, and post-order for International orders. (See “Shipping” below)

Prices are subject to change without notice. If we find that the price of any product line is quoted incorrectly, we reserve a right to rectify such errors and omissions even if the order is already placed. We will inform the retailer about the correct price as soon as possible and will give the option to cancel the order or proceed with the order at the rectified wholesale price.

Our wholesale prices and price lists of products made available by Kantha Bae shall be deemed as Confidential Information, and to be used by retailers only. Publishing or revealing any Confidential Information including digital correspondence with the team, screenshots of the Wholesale site, and more disclosed to retailers is strictly prohibited without prior written consent by Kantha Bae.

Kantha Bae reserves the right to see photos of your store front, booth, or website prior to approval to ensure proper Merchandising standards are in place. Accounts are subject to non-approval if Merchandising standards do not align. 

Kantha Bae pieces purchased at Wholesale prices are not to be sold in 3rd party private Facebook Groups (such as Buy Sell Trade platforms) or apps including Poshmark, Etsy, eBay, and beyond under any circumstances.

SALES AND DISCOUNTS

In the event the Retailer offers discounts on a specific product line or piece purchased from Kantha Bae, the value of such discounts shall be limited to twenty percent (20%) of the MSRP, and any such promotional events shall not be longer than two (2) weeks. This does not include "whole store discounts", or "one-time-use discount codes", like Advertisement discounts or first-time customer codes for email or text subscriptions.

Permissions for special sale events beyond the 20% discount by the customer must be requested in writing. Such requests shall not be unreasonably denied. Black Friday Sales do not need a written request.

Manufacturer's Suggested Retail Price is at the owner's discretion as long as it is not listed below the suggested retail price; refer to retail pricing on our website and your invoice for MSRP.

PRIVATE LABELING AND ALTERING PIECES

As an Authorized Kantha Bae Retailer, you are part of the story sharing process- inviting your customers to become part of the bigger picture and ultimately changing the lives of artisans across the globe. When our clothes become part of your shop- the hang tags provided and the tags placed on the pieces are the ways the mission is carried forward. Thank you for understanding this important piece of our story sharing process and respecting the details. Private Labeling is not currently offered or supported at this time. 

When reselling Kantha Bae products, wholesalers are prohibited from altering the products in any way – adding or removing design details, labels, or stickers (other than a UPC sticker), etc. Products may not be rebranded, including Dyeing or Cutting pieces purchased at Wholesale Prices.

Hang tags and sewn in labels are required to stay attached to all Kantha Bae products before and after purchase. Removal of either of these is strictly prohibited and will result in immediate removal from the Program.

PAYMENT TERMS

Kantha Bae accepts all major credit cards, including Visa, MasterCard, American Express, and Discover, as payment for goods. Full payment is required before the products will be shipped. 

Net terms are not currently available, but the Retailer may select ShopPay at checkout for orders under $1000 to pay in four equal installments for those looking to split payments. We can not split payments on multiple cards. Full payment is required before the products will be shipped.

LEAD TIMES, SHIPPING ERRORS & PROTECTION, & REPORTING REQUIREMENTS

When an order is placed, please allow 3-7 business days for the order to be shipped from our Warehouse in Old Hickory, Tennessee using FedEx Ground for Domestic Orders and FedEx International Connect Plus for International orders. It is very possible for your order to be completed in a shorter time frame. Please contact jessica@kanthabae.com with any questions.

If you would like to pick up your order in person, please contact jessic@kanthabae.com to arrange a pick up time. 

If you receive an incorrect shipment, you MUST notify us within five business days of receiving the shipment. Failure to report incorrect merchandise received and attempts to retain unreported goods will be considered theft.

At checkout, you will see the “KB PROTECT” toggle selected. This is our Kantha Bae shipping protection program that covers you in the event that a package is lost or stolen in transit. It is auto-applied at checkout so that it is not overlooked and resulting in any ineligibility for protection in the event it is needed.

Packages are considered lost/stolen when they have not been received by you and the tracking updates have not changed for 14 days (domestic) and 30 days (international). You have 5 days from the day they are considered eligible to report to file your claim with Kantha Bae. You can read more about the KB Protect terms here. 

KB Protect is optional, and can be unselected at checkout if you wish to omit yourself from the service. By opting out of the service, Kantha Bae is not liable for any lost or stolen packages part of an order that did not include the KB Protect service. You must select KB Protect on ALL orders you wish to insure. 

ORDER CANCELLATIONS AND RETURNS

A ll Wholesale orders are FINAL SALE. Kantha Bae does not offer order cancellations at this time. Each product is designed and handmade and much time and effort is put into each one-of-a-kind order. Once an order is placed, it can not be cancelled or changed.

Returns are not accepted. In some cases trades will be considered at Kantha Bae’s discretion. We hope to help you curate the best collection of Kantha Bae for your shop.  Once an order is received by the retailer, the transaction is complete. If  you feel you have received defective or damaged goods, please contact us and we will discuss arrangements at Kantha Bae’s discretion. 

Please know that all of our Kantha and Silk apparel and accessories are made of 100% upcycled, vintage fabric. They have lived a full life before becoming the designs in our shop. Fabrics may have small threads or holes in the layers. Color inconsistency or small stains may be present. The saris are sewn together and extend the life of each design. Certain imperfections should be celebrated! 

Each item is carefully checked and packaged before being shipped. If you are not completely satisfied with your  purchase from Kantha Bae, please contact jessica@kanthabae.com and we will do whatever we can to help resolve the issue. If you feel there is a manufacturing defect, you must report it to us within 5 business days of receiving the order. Unauthorized returns will not be accepted or refunded.

If you are not completely satisfied with your purchase from Kantha Bae, please contact jessica@kanthabae.com and we will do whatever we can to help resolve the issue.

If your return is considered, please be advised you will be responsible for a 15% restocking fee subtracted from your credit/refund total, based on the total dollar value of the goods you are returning. The Retailer must cover all shipping costs for the return of saleable merchandise. 

PRODUCT CUSTOMIZATION

The items available for wholesale by Kantha Bae are listed on the line sheet provided and/or our website. Customizations and special orders are not available at this time. We will do our best to accommodate color and pattern requests, but can not guarantee availability due to the one of a kind nature of our pieces. Please respect all details related to our products. All tags must stay intact. See “PRIVATE LABELING AND ALTERING PIECES” for more information regarding this. 

All goods are sold as-is. When purchasing from Kantha Bae Wholesale, you are purchasing the item shown in the photo listing.

ONLINE SELLING POLICY

Selling Kantha Bae Wholesale products directly from third-party online retailers or any online market places (such as www.amazon.com and www.ebay.com) is prohibited. Retailers can apply to sell on their own website(s), as well as, their brick and mortar retail stores by filling out the account application for approval. Retail Partners must list "Kantha Bae" in the title of the product(s) sold on their own website, and must have the Kantha Bae program names in the product descriptions or titles.  Failure to do so will result in one warning, and termination of the partnership if still not compliant after the warning. 

Products being sold online to look like Retailer’s own items is prohibited. Being an extension of our brand, we ask that you must keep all tags, labels, and names at the forefront of these items. If this is found in violation, you will receive one warning and then your partnership will be terminated.

Online-Only sellers must have an up to date website and social media account in order to apply and be approved.

In-Home retailers, kiosk locations, Amazon Resellers, Facebook e-tailers and reselling groups, reselling Apps such as Depop, Poshmark, EBay, Etsy, ThredUp, 3rd party sellers, and consignment locations are not permitted. 

Failure to provide full visibility and comply with the terms to report the use of all sales channels are grounds for termination of the partnership. 

Kantha Bae Facebook reselling pages (“BST Groups”) are not affiliated with Kantha Bae and you may not sell Kantha Bae items received at Wholesale prices on any Facebook reselling/trading groups. Failure to comply with this request will result in one warning, and termination of the partnership if still not compliant after the warning. 

Online sellers may not always be accepted into the Wholesale Program. Limited spots are available for any partners who do not have Brick and Mortar locations. Reach out to jessica@kanthabae.com to ask about current availability for Online Only sellers.

WARRANTY

By placing an order, the retailer agrees that Kantha Bae makes no warranty, whether expressed or implied, regarding the merchantability of any product line made available on the website. The retailer also agrees that Kantha Bae shall not be liable for any misrepresentation or misuse of its products by the retailer, its customers or the end users, and indemnify Kantha Bae from actions and proceedings that may emanate from such misrepresentation or misuse.

COPYRIGHTS AND BRAND ASSETS/INTELLECTUAL PROPERTY

Kantha Bae products hold the Kantha Bae trademark which may not be infringed upon. All photos are property of Kantha Bae and wholesalers are permitted to use for sellIng of Kantha Bae products only. This includes only the photos created by Kantha Bae, and DOES NOT include our Community Generated Imagery submitted by our customers. 

All Kantha Bae product photos must remain unaltered. Wholesalers may not alter, photoshop, or reuse photos in any way, aside from simple and light color filtering.

Any photos used of Kantha Bae products taken from social media must credit the original creator of the content.

Kantha Bae may provide product images and other brand assets as requested for business promotion. Please acknowledge that all promotional and marketing materials, including but not limited to blog articles, illustrations, images and audio-visual media are fully protected by copyrights, and owned and controlled by Kantha Bae.

Use of any mark or image requires prior written consent from Kantha Bae.

Kantha Bae’s name may not be used in tandem with any hate speech, negative connotations, or bashing of any kind publicly or privately. Social Media tagging of Kantha Bae or mentioning the brand name or employees in a negative or offensive manner is grounds for immediate termination of the partnership with no refunds offered. The brand is positive and inclusive in nature and offers a no tolerance policy at our discretion. Termination will be provided at the sole discretion of Kantha Bae, and the Retailer will be notified via email of the termination. 

Kantha Bae grants to customers a limited license to use and display the logos and other intellectual property provided. Use of any mark or image requires prior written consent from Kantha Bae. Photos of items purchased (that appear on Retailer’s invoice) are Retailer’s own to use.

ACCOUNT TERMINATION & CONSEQUENCES

The Retailer agrees that Kantha Bae retains the right, in Kantha Bae's sole discretion, to terminate accounts, reject orders, and revoke access to Kantha Bae's products and services at any time, with or without cause, without prior notice or explanation, and without liability to the retailer. The retailer retains the right to terminate the account but must pay Kantha Bae for all products shipped to the retailer. 

If an account is terminated due to breach of contract, we may pursue legal action to protect brand integrity. By placing a wholesale order with Kantha Bae, you acknowledge that you have read, understood, and agreed to abide by these terms and conditions. Failure to comply may result in immediate loss of wholesale privileges.

Social Media

Customers may not present themselves as Kantha Bae or impersonate Kantha Bae in any way. Wholesale Partners may not “Poach” Kantha Bae community members including and not limited to “Besties”, “Maven’s”, etc. 

Retailers must maintain a positive and professional attitude and demeanor on anything posted to Social Media pertaining to Kantha Bae, mentioning or tagging the brand. Curse words, hate speech, bashing, bullying, and negativity involving the brand, fellow Retailers, or its employees is strictly prohibited and grounds for immediate termination. Termination of Wholesale partnerships due to unprofessional Social Media presentation is at the sole discretion of Kantha Bae and the Retailer will be given one warning before termination is followed through.
